Contrato de Parceiro de Marca Independente (IBP)

1 Autorização e contrato

By executing the IBP Agreement ("Agreement"), you apply for legal authorization to become an Independent Brand Partner and enter into a contract with iEvolution Pro LLC, operating the Nuvix brand.

iEvolution Pro LLC reserves the right to reject any application for any reason within thirty (30) days of receipt.

2 Vencimento, renovação e rescisão

O prazo deste Contrato é um ano (sujeito a cancelamento prévio ou desqualificação de acordo com as Políticas e Procedimentos).

iEvolution Pro LLC may terminate this Agreement upon thirty (30) days' notice if it elects to:

1. Cessar as operações comerciais
2. Dissolver-se como uma entidade
3. Interromper a distribuição de vendas diretas

You may cancel this Agreement at any time by submitting written notice via our Contact Us page. iEvolution Pro LLC may also cancel or suspend this Agreement, or take other actions short of termination, if you breach any provision.

3 Status de contratante independente

You agree that this authorization does not make you an employee, agent, or legal representative of iEvolution Pro LLC, Nuvix, or your Sponsoring IBP.

You will receive IRS Form 1099‑MISC from iEvolution Pro LLC reflecting your annual income; you are responsible for reporting this income on your tax return. International IBPs will receive equivalent documentation as required by their jurisdiction.

4 Reembolsos e devoluções de produtos

Se você revender os produtos diretamente a um cliente, deverá honrar o compromisso da Nuvix de Garantia de satisfação 100% e reembolsar todo o dinheiro se o cliente devolver o produto fechado em até 30 (trinta) dias após a compra.

Se você, como IBP, não estiver satisfeito com os produtos Nuvix, poderá devolver os itens para receber um Reembolso 90% se:

• Nenhuma das partes rescindiu o Contrato
• Os produtos foram comprados em um período de doze meses
• Os produtos permanecem em condições de serem revendidos

Observação: Shipping and handling charges are non‑refundable. Refunds will be processed by iEvolution Pro LLC.

5 Apresentação do plano

Ao apresentar o Plano de Recompensas Nuvix, você deve:

• Use apenas materiais oficiais da Nuvix
• Apresentar o plano em sua totalidade
• Clearly disclose that iEvolution Pro LLC is the parent company and payment processor
• Enfatize que as vendas no varejo são necessárias para ganhar bônus sobre o volume da linha descendente
• Instrua todos os clientes potenciais a analisarem as Declarações de Divulgação de Renda da Nuvix antes de assinarem o Contrato IBP

6 Venda de produtos

Você concorda em não fazer nenhuma afirmação sobre os produtos Nuvix além daquelas contidas nos rótulos, na literatura oficial ou no site da Nuvix.

You further agree to sell Nuvix products only in authorized territories listed on the Nuvix website and in compliance with all local MLM/network marketing regulations.

7 Informações proprietárias e segredos comerciais da Nuvix

You acknowledge that iEvolution Pro LLC's and Nuvix's business information—including Line of Sponsorship (LOS) data (e.g., sponsorship tree structures, IBP lists, and related reports)—is proprietary and confidential.

8 Não solicitação

Durante seu mandato no IBP e para um (1) ano after resignation, account inactivity, or termination, you will not solicit or recruit any IBP to compete with iEvolution Pro LLC's or Nuvix's business.

9 Imagens / Gravações / Consentimentos

You permit iEvolution Pro LLC and Nuvix to obtain and use photographs, videos, or other media of you for any lawful purpose, without compensation.

10 Modificação dos termos

Except for the dispute resolution provisions (which require mutual consent to modify), iEvolution Pro LLC may amend the terms of this Agreement as specified in its Policies and Procedures.

11 Jurisdição e legislação aplicável

A formação, a interpretação e a aplicabilidade deste Contrato IBP e dos documentos incorporados são regidas pelas leis da Estado de Wyoming, United States, without regard to conflict‑of‑law provisions.

12 Resolução de disputas

Todas as disputas decorrentes deste Contrato ou das Políticas e Procedimentos da Nuvix serão resolvidas por arbitragem obrigatória under the Federal Arbitration Act and AAA Commercial Rules in Cheyenne, Wyoming (or another location designated by iEvolution Pro LLC).

Parties are entitled to discovery under the Federal Rules of Civil Procedure. iEvolution Pro LLC may seek equitable relief from a court to protect its interests before or during arbitration.

13 Limitação de tempo

Any action against iEvolution Pro LLC or Nuvix for acts or omissions under this Agreement must be brought within um (1) ano da data da conduta alegada. Você renuncia a qualquer prazo maior de prescrição.

14 Diversos

Se alguma disposição for considerada inválida, ela será reformada apenas na medida necessária para torná-la aplicável, e o restante do Contrato permanecerá em vigor.

This Agreement may be executed in counterparts and constitutes the entire understanding between you and iEvolution Pro LLC, superseding all prior agreements on the subject.

15 Aviso de direito de cancelamento

Você pode solicitar o reembolso da compra inicial do produto se o fizer dentro de sete (7) dias úteis de registro.

Refunds will be processed by iEvolution Pro LLC within ten (10) business days after receipt of returned, unopened product in resalable condition.

16 Envio de W-9 eletrônico (somente IBPs dos EUA)

Para IBPs dos EUA: Sob pena de perjúrio, certifico que:

1. O número mostrado neste formulário é o meu número de identificação de contribuinte correto (ou estou aguardando um)
2. Não estou sujeito à retenção de backup
3. Sou cidadão americano ou outra pessoa dos EUA
4. I understand that iEvolution Pro LLC will issue my Form 1099-MISC as the paying entity

17 Operações internacionais e conformidade fiscal

iEvolution Pro LLC, through the Nuvix brand, currently authorizes IBP operations in the following countries:

Suas obrigações tributárias internacionais

Ao assinar este Contrato, você reconhece e concorda que:

1. Registro fiscal: Você é responsável por registrar-se junto a todas as autoridades fiscais relevantes em seu país de residência e em qualquer país onde realize negócios com a Nuvix.
2. Imposto de renda: You must report and pay all income taxes on commissions, bonuses, and any other compensation received from iEvolution Pro LLC according to your local tax laws.
3. IVA/GST/Imposto sobre vendas: Você é responsável por coletar, informar e remeter todos os impostos sobre valor agregado (IVA), imposto sobre bens e serviços (GST), imposto sobre vendas ou impostos de consumo similares aplicáveis, conforme exigido pela sua jurisdição.
4. Direitos de importação/exportação: Se você importar ou exportar produtos Nuvix, será o único responsável por todas as taxas alfandegárias, impostos de importação e conformidade com os regulamentos de comércio internacional.
5. Licenças comerciais: You must obtain and maintain all required business licenses, permits, and registrations in your jurisdiction to operate as an independent business owner and network marketer.
6. Conversão de moeda: You accept all risks associated with currency fluctuations and are responsible for any taxes on foreign exchange gains when receiving payments from iEvolution Pro LLC.
7. Documentação fiscal: You must provide iEvolution Pro LLC with any tax forms, certificates, or documentation required by your country's tax treaties or regulations.
8. Impostos retidos na fonte: You understand that iEvolution Pro LLC may be required to withhold taxes from your commissions as mandated by international tax treaties or local laws.

Conformidade e indenização

Indenização: You agree to indemnify, defend, and hold harmless iEvolution Pro LLC, Nuvix, their officers, directors, employees, and agents from any claims, penalties, losses, or liabilities arising from your failure to comply with any tax laws, regulations, or other legal requirements in your jurisdiction.
