Independent Brand Partner (IBP) Agreement

1 Authorization and Contract

By executing the IBP Agreement ("Agreement"), you apply for legal authorization to become an Independent Brand Partner and enter into a contract with iEvolution Pro LLC, operating the Nuvix brand.

iEvolution Pro LLC reserves the right to reject any application for any reason within thirty (30) days of receipt.

2 Expiration, Renewal, and Termination

The term of this Agreement is one year (subject to prior cancellation or disqualification under the Policies and Procedures).

iEvolution Pro LLC may terminate this Agreement upon thirty (30) days' notice if it elects to:

1. Cease business operations
2. Dissolve as an entity
3. Discontinue direct‑selling distribution

You may cancel this Agreement at any time by submitting written notice via our Contact Us page. iEvolution Pro LLC may also cancel or suspend this Agreement, or take other actions short of termination, if you breach any provision.

3 Independent Contractor Status

You agree that this authorization does not make you an employee, agent, or legal representative of iEvolution Pro LLC, Nuvix, or your Sponsoring IBP.

You will receive IRS Form 1099‑MISC from iEvolution Pro LLC reflecting your annual income; you are responsible for reporting this income on your tax return. International IBPs will receive equivalent documentation as required by their jurisdiction.

4 Refunds and Product Returns

If you resell products directly to a customer, you must honor Nuvix's 100% satisfaction guarantee and refund all monies if the customer returns unopened product within thirty (30) days of purchase.

If you as an IBP are not satisfied with Nuvix products, you may return items for a 90% refund if:

• Neither party has terminated the Agreement
• The products were purchased within twelve months
• The products remain in resalable condition

Note: Shipping and handling charges are non‑refundable. Refunds will be processed by iEvolution Pro LLC.

5 Presenting the Plan

When presenting the Nuvix Rewards Plan, you must:

• Use only official Nuvix materials
• Present the plan in its entirety
• Clearly disclose that iEvolution Pro LLC is the parent company and payment processor
• Emphasize that retail sales are required to earn bonuses on downline volume
• Instruct all prospects to review the Nuvix Income Disclosure Statements before executing the IBP Agreement

6 Selling Product

You agree to make no claims about Nuvix products beyond those on labels, in official literature, or on the Nuvix website.

You further agree to sell Nuvix products only in authorized territories listed on the Nuvix website and in compliance with all local MLM/network marketing regulations.

7 Nuvix Proprietary Information and Trade Secrets

You acknowledge that iEvolution Pro LLC's and Nuvix's business information—including Line of Sponsorship (LOS) data (e.g., sponsorship tree structures, IBP lists, and related reports)—is proprietary and confidential.

8 Non‑Solicitation

During your IBP tenure and for one (1) year after resignation, account inactivity, or termination, you will not solicit or recruit any IBP to compete with iEvolution Pro LLC's or Nuvix's business.

9 Images / Recordings / Consents

You permit iEvolution Pro LLC and Nuvix to obtain and use photographs, videos, or other media of you for any lawful purpose, without compensation.

10 Modification of Terms

Except for the dispute resolution provisions (which require mutual consent to modify), iEvolution Pro LLC may amend the terms of this Agreement as specified in its Policies and Procedures.

11 Jurisdiction and Governing Law

The formation, interpretation, and enforceability of this IBP Agreement and incorporated documents are governed by the laws of the State of Wyoming, United States, without regard to conflict‑of‑law provisions.

12 Dispute Resolution

All disputes arising under this Agreement or Nuvix Policies and Procedures will be settled by binding arbitration under the Federal Arbitration Act and AAA Commercial Rules in Cheyenne, Wyoming (or another location designated by iEvolution Pro LLC).

Parties are entitled to discovery under the Federal Rules of Civil Procedure. iEvolution Pro LLC may seek equitable relief from a court to protect its interests before or during arbitration.

13 Time Limitation

Any action against iEvolution Pro LLC or Nuvix for acts or omissions under this Agreement must be brought within one (1) year of the date of the alleged conduct. You waive any longer statute of limitations.

14 Miscellaneous

If any provision is held invalid, it will be reformed only to the extent necessary to make it enforceable, and the remainder of the Agreement remains in effect.

This Agreement may be executed in counterparts and constitutes the entire understanding between you and iEvolution Pro LLC, superseding all prior agreements on the subject.

15 Notice of Right to Cancel

You may request a refund on your initial product purchase if done within seven (7) business days of enrollment.

Refunds will be processed by iEvolution Pro LLC within ten (10) business days after receipt of returned, unopened product in resalable condition.

16 Submission of Electronic W‑9 (U.S. IBPs Only)

For U.S. IBPs: Under penalty of perjury, I certify that:

1. The number shown on this form is my correct taxpayer identification number (or I am awaiting one)
2. I am not subject to backup withholding
3. I am a U.S. Citizen or other U.S. person
4. I understand that iEvolution Pro LLC will issue my Form 1099-MISC as the paying entity

17 International Operations and Tax Compliance

Authorized Countries

iEvolution Pro LLC, through the Nuvix brand, currently authorizes IBP operations in the following countries:

Your International Tax Obligations

By executing this Agreement, you acknowledge and agree that:

1. Tax Registration: You are responsible for registering with all relevant tax authorities in your country of residence and any country where you conduct Nuvix business.
2. Income Tax: You must report and pay all income taxes on commissions, bonuses, and any other compensation received from iEvolution Pro LLC according to your local tax laws.
3. VAT/GST/Sales Tax: You are responsible for collecting, reporting, and remitting all applicable value-added tax (VAT), goods and services tax (GST), sales tax, or similar consumption taxes as required by your jurisdiction.
4. Import/Export Duties: If you import or export Nuvix products, you are solely responsible for all customs duties, import taxes, and compliance with international trade regulations.
5. Business Licenses: You must obtain and maintain all required business licenses, permits, and registrations in your jurisdiction to operate as an independent business owner and network marketer.
6. Currency Conversion: You accept all risks associated with currency fluctuations and are responsible for any taxes on foreign exchange gains when receiving payments from iEvolution Pro LLC.
7. Tax Documentation: You must provide iEvolution Pro LLC with any tax forms, certificates, or documentation required by your country's tax treaties or regulations.
8. Withholding Taxes: You understand that iEvolution Pro LLC may be required to withhold taxes from your commissions as mandated by international tax treaties or local laws.

Compliance and Indemnification

Indemnification: You agree to indemnify, defend, and hold harmless iEvolution Pro LLC, Nuvix, their officers, directors, employees, and agents from any claims, penalties, losses, or liabilities arising from your failure to comply with any tax laws, regulations, or other legal requirements in your jurisdiction.
