Acuerdo de Independent Brand Partner (IBP)

1 Autorización y contrato

By executing the IBP Agreement ("Agreement"), you apply for legal authorization to become an Independent Brand Partner and enter into a contract with iEvolution Pro LLC, operating the Nuvix brand.

iEvolution Pro LLC reserves the right to reject any application for any reason within thirty (30) days of receipt.

2 Expiración, renovación y rescisión

La duración del presente Acuerdo es de un año (sujeto a cancelación previa o descalificación en virtud de las Políticas y Procedimientos).

iEvolution Pro LLC may terminate this Agreement upon thirty (30) days' notice if it elects to:

1. Cese de la actividad empresarial
2. Disolverse como entidad
3. Interrumpir la distribución de venta directa

You may cancel this Agreement at any time by submitting written notice via our Contact Us page. iEvolution Pro LLC may also cancel or suspend this Agreement, or take other actions short of termination, if you breach any provision.

3 Estatuto de contratista independiente

You agree that this authorization does not make you an employee, agent, or legal representative of iEvolution Pro LLC, Nuvix, or your Sponsoring IBP.

You will receive IRS Form 1099‑MISC from iEvolution Pro LLC reflecting your annual income; you are responsible for reporting this income on your tax return. International IBPs will receive equivalent documentation as required by their jurisdiction.

4 Reembolsos y devoluciones de productos

Si revende los productos directamente a un cliente, deberá respetar las Condiciones de uso de Nuvix. 100% garantía de satisfacción y reembolsará todo el dinero si el cliente devuelve el producto sin abrir en un plazo de treinta (30) días a partir de la compra.

Si usted como IBP no está satisfecho con los productos Nuvix, puede devolver los artículos para un Reembolso 90% si:

• Ninguna de las partes ha rescindido el Acuerdo
• Los productos se compraron en un plazo de doce meses
• Los productos permanecen en condiciones de reventa

Nota: Shipping and handling charges are non‑refundable. Refunds will be processed by iEvolution Pro LLC.

5 Presentación del plan

Al presentar el Plan de Recompensas Nuvix, debe:

• Utilice sólo materiales oficiales Nuvix
• Presentar el plan en su totalidad
• Clearly disclose that iEvolution Pro LLC is the parent company and payment processor
• Insistir en que las ventas al por menor son necesarias para ganar bonificaciones por volumen de línea descendente.
• Indique a todos los clientes potenciales que revisen las Declaraciones de ingresos de Nuvix antes de firmar el Acuerdo IBP.

6 Venta de productos

Usted se compromete a no hacer ninguna afirmación sobre los productos Nuvix más allá de las que figuran en las etiquetas, en la literatura oficial, o en el sitio web de Nuvix.

You further agree to sell Nuvix products only in authorized territories listed on the Nuvix website and in compliance with all local MLM/network marketing regulations.

7 Información de propiedad exclusiva y secretos comerciales de Nuvix

You acknowledge that iEvolution Pro LLC's and Nuvix's business information—including Line of Sponsorship (LOS) data (e.g., sponsorship tree structures, IBP lists, and related reports)—is proprietary and confidential.

8 No convocatoria

Durante su permanencia en el IBP y para un (1) año after resignation, account inactivity, or termination, you will not solicit or recruit any IBP to compete with iEvolution Pro LLC's or Nuvix's business.

9 Imágenes / Grabaciones / Consentimientos

You permit iEvolution Pro LLC and Nuvix to obtain and use photographs, videos, or other media of you for any lawful purpose, without compensation.

10 Modificación de las condiciones

Except for the dispute resolution provisions (which require mutual consent to modify), iEvolution Pro LLC may amend the terms of this Agreement as specified in its Policies and Procedures.

11 Jurisdicción y ley aplicable

La formación, interpretación y aplicabilidad del presente Contrato IBP y de los documentos incorporados se rigen por las leyes del Estado de Wyoming, United States, without regard to conflict‑of‑law provisions.

12 Resolución de litigios

Todas las controversias que surjan en virtud del presente Acuerdo o de las Políticas y Procedimientos de Nuvix serán resueltas por arbitraje vinculante under the Federal Arbitration Act and AAA Commercial Rules in Cheyenne, Wyoming (or another location designated by iEvolution Pro LLC).

Parties are entitled to discovery under the Federal Rules of Civil Procedure. iEvolution Pro LLC may seek equitable relief from a court to protect its interests before or during arbitration.

13 Limitación de tiempo

Any action against iEvolution Pro LLC or Nuvix for acts or omissions under this Agreement must be brought within un (1) año de la fecha de la presunta conducta. Usted renuncia a cualquier plazo de prescripción más largo.

14 Varios

Si alguna disposición se considera inválida, se reformará sólo en la medida necesaria para hacerla ejecutable, y el resto del Acuerdo permanecerá en vigor.

This Agreement may be executed in counterparts and constitutes the entire understanding between you and iEvolution Pro LLC, superseding all prior agreements on the subject.

15 Notificación del derecho de cancelación

Puede solicitar el reembolso de la compra inicial del producto si lo hace en el plazo de siete (7) días laborables de inscripción.

Refunds will be processed by iEvolution Pro LLC within ten (10) business days after receipt of returned, unopened product in resalable condition.

16 Presentación del formulario W-9 electrónico (sólo IBP de EE.UU.)

Para los IBP estadounidenses: Bajo pena de perjurio, certifico que:

1. El número que figura en este formulario es mi número de identificación fiscal correcto (o estoy a la espera de recibirlo)
2. No estoy sujeto a retención a cuenta
3. Soy ciudadano de EE.UU. u otra persona de EE.UU.
4. I understand that iEvolution Pro LLC will issue my Form 1099-MISC as the paying entity

17 Operaciones internacionales y cumplimiento de las obligaciones fiscales

Al ejecutar este Acuerdo, usted reconoce y acepta que:

1. Registro fiscal: Usted es responsable de registrarse con todas las autoridades fiscales pertinentes en su país de residencia y cualquier país en el que realice negocios Nuvix.
2. Impuesto sobre la renta: You must report and pay all income taxes on commissions, bonuses, and any other compensation received from iEvolution Pro LLC according to your local tax laws.
3. IVA/IGIC/Impuesto sobre las ventas: Usted es responsable de recaudar, declarar y remitir todos los impuestos sobre el valor añadido (IVA), impuestos sobre bienes y servicios (GST), impuestos sobre las ventas o impuestos sobre el consumo similares que sean de aplicación en su jurisdicción.
4. Funciones de importación y exportación: Si importa o exporta productos Nuvix, usted es el único responsable de todos los derechos de aduana, impuestos de importación y el cumplimiento de las regulaciones de comercio internacional.
5. Licencias comerciales: You must obtain and maintain all required business licenses, permits, and registrations in your jurisdiction to operate as an independent business owner and network marketer.
6. Conversión de divisas: You accept all risks associated with currency fluctuations and are responsible for any taxes on foreign exchange gains when receiving payments from iEvolution Pro LLC.
7. Documentación fiscal: You must provide iEvolution Pro LLC with any tax forms, certificates, or documentation required by your country's tax treaties or regulations.
8. Retenciones fiscales: You understand that iEvolution Pro LLC may be required to withhold taxes from your commissions as mandated by international tax treaties or local laws.

Cumplimiento e indemnización

Indemnización: You agree to indemnify, defend, and hold harmless iEvolution Pro LLC, Nuvix, their officers, directors, employees, and agents from any claims, penalties, losses, or liabilities arising from your failure to comply with any tax laws, regulations, or other legal requirements in your jurisdiction.
